These Terms of Service ("Terms") govern your use of the Riptide AI Consulting website at riptideai.co ("Site") and any consulting services provided by Riptide AI Consulting ("we," "us," or "our"). By using the Site or engaging our services, you agree to these Terms.
1. Use of the website
You may use the Site for lawful purposes only. You agree not to:
- Use the Site in any way that violates applicable laws or regulations
- Attempt to gain unauthorized access to any part of the Site
- Transmit any harmful, offensive, or unsolicited content
- Scrape, crawl, or extract data from the Site without written permission
2. Consulting services
Engagement for consulting services is governed by a separate Statement of Work ("SOW") or Service Agreement signed by both parties. These Terms apply to the general website experience and initial inquiry process. In the event of a conflict between these Terms and a signed SOW, the SOW takes precedence.
Scope of services
Services are delivered as described in the applicable SOW. Any changes to scope, timeline, or deliverables must be agreed in writing by both parties. Requests outside the agreed scope will be quoted separately.
Payment terms
Unless otherwise stated in the SOW:
- A 50% deposit is required before work begins
- The remaining balance is due upon project completion or milestone delivery
- Invoices are payable within 14 days of issuance
- Late payments may incur a 1.5% monthly fee
Cancellation and refunds
If you cancel an engagement:
- Within 48 hours of project kickoff: full deposit refund
- After kickoff, before 25% completion: 50% refund of deposit
- After 25% completion: no refund; payment due for work completed to date
3. Intellectual property
Your IP
You retain all intellectual property rights to materials, data, and content you provide to us. You grant us a limited license to use your materials solely for the purpose of delivering agreed services.
Deliverables
Upon full payment, all custom deliverables created specifically for you under an SOW transfer to you. We retain the right to use general methodologies, processes, and non-client-specific knowledge for other clients.
Our IP
The Riptide AI Consulting website, brand assets, frameworks, and template materials remain our exclusive property. Nothing on the Site grants you a license to use our trademarks, logos, or proprietary materials without express written permission.
4. Confidentiality
We treat all client business information as confidential. We will not disclose your proprietary information to third parties without your consent, except as required by law. Confidentiality obligations survive the termination of any engagement.
5. Limitation of liability
To the fullest extent permitted by law, Riptide AI Consulting shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site or our services. Our total liability for any claim arising out of a consulting engagement shall not exceed the total fees paid by you in the 12 months preceding the claim.
6. Disclaimer of warranties
The Site and services are provided "as is" without warranties of any kind, express or implied. We do not warrant that AI implementations will achieve specific business outcomes. Results depend on many factors outside our control, including client adoption, organizational change, and market conditions.
7. Third-party tools and platforms
Our services may involve recommending or implementing third-party tools (e.g., ChatGPT, Claude, Zapier, HubSpot, Calendly). We are not responsible for the performance, uptime, or pricing changes of third-party platforms. Subscriptions to third-party tools are the client's responsibility unless otherwise specified in the SOW.
8. Governing law
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in Houston, Texas, except where prohibited by law.
9. Changes to terms
We reserve the right to update these Terms at any time. Material changes will be communicated by updating the "Last updated" date. Continued use of the Site after changes constitutes acceptance.
